Valuation
Clear, defensible valuations.
For decisions that matter.
Whether you are preparing an exit, evaluating an acquisition, resolving a dispute, or satisfying a regulatory requirement — a robust, independent valuation gives you a firm basis for negotiation, decision-making, and stakeholder communication.
Valuation Services
From indicative assessments to fully standards-compliant independent opinions — I provide the depth and rigour that the situation requires, with full transparency on methodology and assumptions.
Every valuation engagement is different. The purpose, the audience, the available information, and the required level of formality all shape what is appropriate. I work with you to define the right scope upfront — and deliver a result you can stand behind in a boardroom, a negotiation, or a legal proceeding.
Preparation of a fully integrated financial model (P&L, balance sheet, cash flow) combined with a discounted cash flow valuation. The business plan is built to reflect the operational reality of your business, not a template. Assumptions are documented, stress-tested, and presented with full sensitivity analysis.
Market-based valuation using trading comparables and precedent transaction multiples. Peer group selection, multiple calibration, and interpretation of the resulting value range, providing a fast, market-anchored view of value that complements or cross-checks a DCF analysis.
Independent valuation support for M&A transactions — buy-side and sell-side. Valuation of the target, purchase price assessment, and formal fairness opinions where required by boards, shareholders, or regulators to confirm that a proposed transaction price is fair from a financial point of view.
Formally documented, independent business valuations in line with recognised professional standards. Suitable for regulatory filings, dispute resolution, tax authorities, and corporate transactions requiring an independent third-party opinion.
Valuation Methods
A credible valuation relies on the right method — or combination of methods — for the specific situation. I apply all major approaches and reconcile them into a transparent, well-reasoned conclusion.
Discounted Cash Flow (DCF)
Projection of free cash flows from an integrated financial model, discounted at a risk-adjusted WACC. Includes terminal value derivation, sensitivity analysis on key assumptions, and bridge from enterprise value to equity value.
Primary methodTrading & Transaction Multiples
Valuation by reference to comparable listed companies (EV/EBITDA, EV/Revenue, P/E) and precedent M&A transactions. Peer group selection, multiple calibration, and adjustment for size, growth, and margin differences.
Cross-check / primaryNet Asset Value (NAV)
Asset-based valuation at fair market value — particularly relevant for holding companies, asset-heavy businesses, real estate, and project pipelines where asset values provide a meaningful floor or primary reference.
Sector-specificWhen you need a valuation
Valuation questions arise in many situations, not only in formal transactions. These are the most common contexts where I provide valuation support.
- Exit preparation and sale process — Establishing a defensible value range before entering a sell-side process, to anchor expectations, prepare the financial narrative, and support negotiations with buyers.
- M&A—buy-side Assessing the fair value of an acquisition target, stress-testing the seller's assumptions, and providing an independent view on a proposed purchase price before committing.
- Fairness opinion for a board or shareholders A formal, documented opinion confirming that a proposed transaction price is fair from a financial point of view — required by boards managing their fiduciary duty, or by minority shareholders seeking protection.
- Succession and intra-family transfer Independent valuation for the transfer of business interests between family members, including for gift tax, inheritance tax, or partnership agreement purposes.
- Shareholder disputes and squeeze-outs Court-admissible valuations in the context of shareholder disputes, exit clauses, drag-along situations, or mandatory buyouts under applicable law.
- Fundraising and investor negotiations A credible, independently prepared valuation to support pre-money discussions with investors — particularly in growth-stage businesses where market comparables are limited.
